PERSONAL STATEMENT

GROWING FUTURE

It is hard to believe that in our surrounding in Europe, there are still countries where the population barely survives from one day to another, despite people’s efforts to do their best. But yet, this still exists.

It Is hard to think about and focus on spiritual deve­lopment, social life improvements, healthy food and the environment if you are not sure if you will be able to pay your electricity bill this month, or if you cannot buy books and shoes for your child in primary school, knowing that bread and milk are the priority at home. It would be hard for me, it would be hard for all of us in that position.

We have done our work for ourselves and for our family, and we have probably helped our friends and relatives, but is that where our mission ends? Can we not do more for an unknown person, an unknown family, or an unknown farmer who works hard in the field to support his family? Small steps forward in this direction would help thousands of unknown people, people who are so similar to us, but people who have been less lucky than us.

Creating jobs, creating a company that will be a locomotive for employees, small farmers, municipalities and the region, will be a significant step in right direction. This will return smile on parents faces when they are at home with their children, this security will result in a young generation that can contribute to their own community and develop our society into one that is more equal, fair and peaceful.

Each person has a life goal and purpose, the question is do we know our own? Have we put forth our best efforts to accomplish our mission, or have we at least tried? My life goal was to create a company 25 years ago and to prove that running a successful company with happy employees is possible, and also to lay the fundament for an larger company based on the same principles.

Deep within all of us is the potential for hard work and the will to make our environment more prosperous for all. Not everyone is as lucky as we are, not everybody is gifted in the ways that we are, and finally not many people have a chance to prove that we can be better than we are and that we are unified.

Let’s use this chance, let’s plant for the future.

PRESENT SITUATION

SOLID BASED ECONOMY

WERE ARE WE LOCATED?

The Republic of Macedonia is a landlocked country in South-eastern Europe, bordering to Serbia to the north, Bulgaria to the east, Greece to the south, Albania to the west and Kosovo to northwest. The country’s topography is primarily composed of agricultural land, mountains, valleys, and rivers. The capital and largest city, Skopje, is home to roughly a quarter of the nation’s 2.06 million inhabitants. The majority of the residents with around 70% are Macedonians, followed by minorities of Albanians, Turks, Serbs, Romani and others.

THE WILL TO GROW

The Republic of Macedonia is rapidly advancing along the path of political, social and economic reforms, all of which are focused on strengthening the country’s democratic structures, based on a free market eco­nomy. Currently, Macedonia is labeled stable, both politically and macroeconomically, providing much room for business growth.

WORLD BANK DOING BUSINESS (Ranking 11 in 2018)

The country’s continuous progress has been confirmed by the World Bank’s Doing Business report, which has ranked Macedonia as the best consecutive reformer in South East Europe for the past three years. The Republic of Macedonia is at the 11th place in general for doing business globally, while neighboring Bulgaria is at the 50th place, Greece is 67th. (Out of 190 countries)

CREATING SUSTAINABLE JOBS

The top priorities of the Government include creating sustainable jobs by economic growth and development, active participation in regional and global integration processes, maintenance of economic stability, and attraction of foreign direct investment.

STABLE ENVIRONMENT, NATO – EU

The Republic of Macedonia is currentluy a candidate country for EU membership, while accession to NATO is expected to begin soon.

FORGOTTEN INVESTMENT

FOOD BARN OF SOUTHEAST EUROPE?

Macedonia’s economy has almost always been com­pletely agriculturally based from the time of middle ages, through the time under Ottoman Empire and remained so until the collapse of Former Yugoslavia in the 1990s. The dominatio of Macedonian agriculture in the region increased rapidly during the industrial age. Macedonia was also responsible for large outputs of vegetables and fruits (especially grapes) during socialism under former Yugoslavia.

THE FALL OF YUGOSLAVIA

After the fall of Socialist Yugoslavia, the Macedonian economy experienced several shocks that threatened the very existence of the country’s agriculture economy. Starting with bad poorly-executed privatization and the western embargo on the Yugoslavian common market, almost all markets for agricultural products were lost.

AGRICULTURE BECOMES
A TOMBSTONE

The central economy began to recover into a industry-centered economy from 1995 but left its agricultural history damaged and left helplessly behind. People started leaving small

villages, trying to find work in the larger cities. This exodus created enormous socioeconomic damages in the rural areas. This damage is still visible and still hang like a tombstone around the “social and economic” neck ofMacedonia.

  • 86.7% of Macedonia’s geography is rural and home to 40.2% of the population.
  • There exists many problems are in the 360 villages that hold 68.2% of the rural population.
  • Approximately 60% of the villages are affected by de-population.
  • Agriculture is the main economic activity in rural households. Theese households experience insecurity due to social exclusion.
  • The total number of affected population in rural areas is approximately 590.000 inhabitants. (*100%)

DEFINING SOLUTION

THE 4 STEPS TO SUCCESS

1. PRODUCTION & FULL SERVICE LOGISTICS

Its common knowledge that in general, urban and industrial areas have developed over the past centuries around infrastructural-logistic crossings, such as roads and rivers, and in recent years industrial zones, harbors, and airports have been added in these areas. Perfect “infrastructure” combined with “full service logistics” is increasingly becoming the “key player”, the middleman between producer and consumer.

A good examples of this is Cainiao the Chinees service operator located in the industrial zone of Guangdong at the Hong Kong harbor.

Cainiao provides all logistics for the “Door to Door” deliveries for world player Alibaba. An example from Europe is Koornstra & Co, which is located in the “Westland” area around the harbor of Rotterdam and provides daily “Door to Door” vegetables and fruits deliveries to almost all European Retail players.

2. FULL SERVICE LOGISTICS & DUTCH AUCTION

To go deeper in our understanding of the development from the “Westland” area we have to go back to the 1960s, when the Dutch government established a system where agricultural growers could sell their products to an pre-defined “Auction system”. By creating a marketplace where buyers and seller can meet each other daily, created a win-win situation were producers became stronger through having a bigger marketplace and also fulfills the need of the buyer to have a “one” stop shopping system including “Door to Door” deliveries. Some data may make the reasons for success clearer.

The Netherlands is only 25% larger than Macedonia, but in 2017 the Westland region produced 101 BILLION Euro value of Agri-food for export to Germany, Belgium and United Kingdom, sold over DUTCH AUCTION based systems. The Netherlands has a similar market to sout eastern Europe.

3. DUTCH AUCTION & ORTEC

The success ofthe DUTCH AUCTION system together with the expansion of high yield agriculture are currently the main drivers of the Dutch economy. Significant changes are at this moment going on in Retail land. Social and economic landscapes around household structures are changing rapidly, and therefore the way we consume, select and buy our food. Successful answer has been again the creation of a virtual marketplace where retail and consumer can meet and producers can sell their services and products as “one” stop shopping and “Door to Door” deliveries.

We call this system ORTEC. Good examples are the grocery platforms PIC NIC, Albert Hein/Delhaize with Appie and the UK fourth largest retail chain Morrisons with Ocado on-line platform.

4. READY TO EAT & FULL SERVICE LOGISTICS

As mentioned above were are not only changing our habits where we buy products and how they are delivered to us, we are also changing rapidly regarding readymade and takeaway food. Examples in vegetable retail include readytoeat salads and readytotake fruits. The era of consumers buying kilo is coming to an end. Apples are packed in 6inapack blisters and grapes are packed in plastic boxes of 500 grams or more. Household structures are increasingly defined around working families who are pressed for time. Full service logistics are also the main player here, in that they provide producers with their packaging needs, which in turn fulfill consumer wishes.

THINGS TO DO

"FULL SERVICE LOGISTIC" Based on a DUTCH AUCTION based system co- investor Koornstra and project owner Mr. Vasilevski will develop and manage a “Full Service Logistics” center that will function as a base for retail and greenmarket deliveries into Southeastern Europe and the Middle East.

"PRODUCTION" GREENSTAR will develop and manage along with partners from Israel and Westland a high yield greenhouse production area containing 4 major crops, which are defined as key drivers in retail. GREENSTAR turnover will function as starting load for the “Full Service Logistics” center. GREENSTAR will train and employ 1.250 local agriculture oriented employees from predefined target areas. The education and reintegration of social excluded workers will be a key driver for production groups. GREENSTAR will develop and preform a secondary FARMER COOPERATION for its greenhouse workers.

"STEPS TO MAKE FARMER COLLECTIVE" Based on Dutch/Israeli education and knowhow GREENSTAR workers can produce predefined crops and volumes on their local farms. WORKING SYSTEM greenhouse workers work 12 hours a day, 1 day on 1 day off, and than 2 days on 2 days off. The main thought behind this system is a basic income and time for the workers own production. The full Service Logistics center will buy all products from its FARMER COOPERATION for predefined prices. The main reason for this is so that the center might complement its own portfolio to clients and retailers with for example strawberries, potatoes, garlic, onions.

"ENERGY" Greenstar production and Logistic will be implementing a cocktail of renewable energy sources for its processes to make the project sustainable. The types of energy will be geothermal, wind and solar.

"ORTEC" will create a DUTCH AUCTION based virtual platform where “Production & Full Service Logistic & Retail” are connected.

FULL SERVICE LOGISTICS FOR 25 YEARS

Shortly after starting as a normal transport company owner Mr. Vasilevski decided to shift his business into a “full service logistics” provider for his customers. Organizing transports, customs clearance, warehousing

and local delivery, creating company became a successful move. Working now with world players such as DBSchenker, DHL and Danish player DHV, made him wellknown and respected as logistic service provider. Now… 25 years later…. It is time to make the next step.

START-UP GREENSTAR

In 2015 Mr. Vasilevski by invitation of company Viscon in the Westland Netherlands, he visit companies where on a daily basis 1.200 different agriculture products are custom-made, packed, sold and shipped into Europe’s biggest retailers and greenmarkets. That was the moment when decision was made for creating company who

will be leader in this segment in southeastern Europe. Viscon’s expertise in building logistic centres became a starting point to develop a strategic plan to recover Macedonia’s agricultural past and bring social and economic prosperity to those who need it the most.

NON-CIRCUMVENTION AND NON-DISCLOSURE AGREEMENT

REGARDING TRANSACTIONS BETWEEN

This Non-Circumvention and Non-Disclosure Agreement is prepared in accordance with the legal standards and principles of the International Chamber of Commerce (I.C.C.) Vienna, Austria, which is recognised as the agency having the jurisprudence over the contained matters of international commerce.

Any local legal authority of any country in the world has the capacity to adjudicate and enforce decisions in accordance with policies of the I.C.C. Therefore, this local legal action is thereby binding and recourse to the I.C.C. itself is not necessary. In all cases, the below contracting parties shall settle any such dispute as may arise locally, upon mutual agreement, unless litigation becomes necessary. In the event of any disagreement or dispute arising out of any provision of the agreement, the parties hereto mutually agree that the matter shall be entered in the courts of the forum having jurisdiction over the parties.

NON-CIRCUMVENTION

The parties shall respect the integrity and tangible value of the contact/compensation structure and shall not in any manner whatsoever, either at the present time, or any future time, attempt to circumvent the validity and integrity of the contact process, as initially defined and as initially acted upon. In any transactions either being entered into the course of any attempted transactional process, any contracts introduced by one party to the other shall be considered the property of the introducing party, without the specific authorization of the first party to do so.

The initial contact process shall be respected and honoured by all parties at all times, unless otherwise mutually agreed, and no attempt of hint of circumvention shall be permitted by either party or its agents, employees, assignees, guarantors, or third party. Each of the parties below accept and understand that any overt or covert action of circumvention of the respected process shall constitute a serious trespass of trust and legality, and will be subject to judicial action recompense, and possible punitive-damages as so awarded by legal process.

It is further understood that where one party contravenes the integrity of the initial contact procedure, the contravening party shall indemnify fully all commissions, fees, or monies obtained by the contravening party, directly or indirectly, to the party which has been violated. He will also indemnify and be liable for all legal fees for all parties, which may be incurred in the course of the adjudication of said violation, and, be subject to possible punitive action awarded by legal process.

NON-DISCLOSURE

The parties shall not disclose to any third parties (except their bankers), either directly or indirectly, the fact or nature of their respective professional and business association, or any transactional (or transactional information) in which both parties are/were or may be jointly involved, without the prior authority of the other party. All names, addresses, telephone numbers , e-mails, telex/fax numbers, or any other medium of contacts or the identity of such contacts of each respective party shall be considered to be wholly proprietary confidential, and of tangible value to the respective party which has expended time and monies to develop their first (1st) contact system. Under no circumstances, either during or after the tenure of the formal association of the above parties, shall either violate the integrity and legality of the contact system without first securing full written authority from the other parties to do so.

TIME VALIDITY

This agreement shall become effective immediately from the date of signing hereof by all parties, shall be effective retroactively from time of initial contact, and shall remain in effect hence forth for a period of one (1) year, unless terminated sooner by mutual consent. Any party violating any term of the Agreement will automatically lose the right to any fee or commission agreed upon for the present transaction, as well as any future transaction(s), and any trailing compensation due or any transaction(s) currently under way.

LEGALITY

This agreement shall be legally binding on the parties hereto, their principles, employees, representatives, agents, assignees and all others associated. The law of Republic of Macedonia shall be the only Law applicable on the interpretation of this agreement and in any dispute resolution.

ARBITRATION

Every attempt shall be made to resolve disputes arising from intended or inadvertent violation of the agreement, as possible. In the event that adjudication is required, the parties may agree on arbitration to resolve a dispute or any party could decide to take the matter to Court as stated in paragraph under Legality.

The Green Star project team is the heartbeat of the project. The team is multi-disciplinary, with team members having been brought together from different departments, and they include experts from external companies and suppliers from Macedonian, Israeli, and European countries. As a team they are responsible for completing the project (doing the work) according to the project schedule.

Having the right skills within the project team is crucial to project success. The membership of the project team is changing as different skills are required for specific phases and deliverables.
